Start-ups & Business Structuring

The right structure from day one, and the right structure as you grow, bring in investors or plan your exit.

At a glance

Support from formation to exit: choosing and setting up the right structure for a new business, founder tax planning, and restructuring established businesses and groups, including holding companies, succession and preparing for a sale.

Who this is for

  • •Founders about to form a company
  • •Non-UK founders running a UK company
  • •Founders raising investment, including under EIS or SEIS
  • •Owners taking on new shareholders or adding a holding company
  • •Owners planning succession or an exit
  • •Businesses expanding across borders

What is involved

We look at your plans and current position, model the options and any tax charges along the way, and recommend a route in writing. For a new business we then handle the formation, registrations and accounting set-up; for a restructuring we work with your solicitors and other advisers to put it in place. Fees are agreed before work starts.

Situations we help with

Common situations we advise on.

You want a holding company above your trading company

A holding company can let you move profits between companies, protect cash and prepare for a sale. Done properly, the move is usually made by exchanging shares, without an immediate tax charge, and HMRC's clearance can be obtained in advance.

We design the route, apply for clearance and work with your solicitor on the paperwork.

You are raising money from angel investors

SEIS and EIS give investors generous tax reliefs, and many will not invest without them. The company has to meet the conditions before the shares are issued, and a mistake can cost every investor their relief.

We check that you qualify, apply for HMRC advance assurance and make the post-investment filings.

You live outside the UK and want to run a UK company

Where a company's decisions are made can affect where it is taxed. Running a UK company from abroad can mean a second country also treats it as tax resident. How you take money out matters too.

We set up the company and its registrations, and make sure the structure works in both countries.

You want to give key staff shares or options

Enterprise Management Incentive (EMI) options can be very tax-efficient for both the company and the employee, but there are qualifying conditions and options must be notified to HMRC on time. Shares given to staff below their market value are usually taxed as employment income.

We check whether EMI is available, agree a share valuation with HMRC and set up the scheme.

A co-founder or investor is joining

Who gets which shares, at what price and with what rights affects tax for everyone, now and on a future sale. Different share classes can give flexibility over dividends and future growth.

We work out the share structure and the tax position for each shareholder before any shares are issued.

Our approach

Built to last, and built to be efficient.

The right structure can make a significant difference to your tax position and your flexibility as the business grows. We start with what you want to achieve and design a structure that fits it, rather than a default that suits nobody in particular.

Every structure we recommend has to stand up commercially as well as for tax, and be properly documented, so it holds up if HMRC or a buyer's advisers look at it later.

FAQ

Frequently asked questions

How early should I involve an accountant?
Ideally before you register your company. The structure you choose and the systems you set up early on have long-term tax and compliance consequences, so getting it right from the start saves time and money later.
Which business structure should I choose?
It depends on your plans, shareholders and tax position. We talk through the options, whether sole trader, partnership or limited company, and recommend the right fit for your goals.
Can you help with company formation?
Yes. We handle company formation, initial tax registrations and the set-up of your accounting systems so your new business starts on the right foot.
What taxes will I need to register for?
Most new companies need to register for corporation tax, and for PAYE once they pay salaries. Many also need to register for VAT. We handle the registrations and make sure nothing is missed.
Can you help if I am not based in the UK?
Yes. We regularly help non-UK founders set up and run UK companies, including the tax and reporting that comes with cross-border ownership.
When should I review my business structure?
Key moments include taking on new shareholders, expanding internationally or planning an exit. A periodic review also makes sure your structure still works as circumstances change.
Can restructuring save tax?
The right structure can improve tax efficiency, but it must be driven by genuine commercial reasons and be properly documented. We help you find an approach that is both compliant and effective.
Will restructuring trigger tax charges?
Some restructurings can trigger charges if not handled carefully. We model the position first and design the route that gets you to the right structure with the least tax friction.
When should I plan an exit?
Ideally two or three years ahead. Early planning gives time to restructure, make the most of available reliefs and present the business in the best light.
Can you work with my other advisers?
Yes. We regularly work alongside solicitors, corporate finance advisers and existing accountants to keep every part of a transaction aligned.
